Documents Financiers Expect From a Business: A Complete Checklist

A ready checklist of KYC, financial, GST, banking and project documents Indian businesses should prepare before applying for business finance.

Organised business documents prepared for a finance application

Few things slow down a finance proposal more than missing paperwork. Preparing documents in advance shortens assessment, reduces back-and-forth and signals that the business is well run. Requirements vary by transaction and financier, but most assessments draw on the following.

1. Entity and KYC documents

  • Certificate of incorporation, Memorandum and Articles of Association (companies)
  • Partnership deed or LLP agreement (firms and LLPs)
  • PAN of the entity; promoter and director KYC — PAN and address proof
  • GST registration certificate and Udyam registration, where applicable
  • Board resolution authorising the borrowing (companies)
  • Shareholding pattern and group-company details

2. Financial documents

  • Audited financial statements for the last three years
  • Income-tax returns for the same period
  • Latest provisional or management accounts for the current year
  • GST returns for the recent period
  • Debtor and creditor ageing statements
  • Inventory statements

3. Banking and existing obligations

  • Bank statements for all operating accounts (typically the last 12 months)
  • Schedule of existing loans and facilities with outstanding balances
  • Sanction letters and repayment track record for current borrowings
  • Credit rating, where applicable

4. Requirement-specific documents

  • Expansion: project report, cost estimates, supplier quotations, implementation timeline, projections
  • Machinery or equipment: asset quotation, technical specifications, supplier details, insurance
  • Working capital: major customer and supplier lists, confirmed orders or invoices
  • Structured requirements: detailed transaction note, counterparties, legal documents, repayment plan
  • Property or security documents, where security is proposed

Tips that make a real difference

  • Keep financial statements, GST returns and bank statements consistent with each other — differences will be questioned.
  • Explain unusual items (a one-time loss, a large related-party transaction) upfront in a short note.
  • Prepare a one-page company profile and a one-page funding note — they frame everything else.
  • Share documents only through verified channels of the financier.
